• You are responsible for maintaining account security
• One person or legal entity may not maintain more than one account

• You are responsible for all activities under your account

4. Acceptable Use

• Use our services for lawful business purposes
• Upload and process your business documents
• Share access with authorized team members
• Export your data at any time

• Use our services for illegal activities
• Upload malicious software or harmful content
• Attempt to breach security measures
• Resell or redistribute our services without permission
• Use our services to process sensitive personal data without proper authorization

5. Data Ownership and Rights

5.1 Your Data

• You retain all rights to your uploaded content
• You grant us a limited license to process your data for service provision
• We will not sell or share your data with third parties
• You are responsible for having rights to upload and process your data

5.2 Our Technology

• We retain all rights to our platform, AI models, and technology
• You receive a limited license to use our services
• Feedback and suggestions may be used to improve our services

6. Payment Terms

6.1 Subscription Plans

• Pricing is as listed on our pricing page
• All prices are in USD unless otherwise stated
• Subscriptions renew automatically unless canceled

6.2 Billing

• Payment is due at the beginning of each billing cycle
• We accept major credit cards and ACH transfers
• Late payments may result in service suspension

6.3 Refunds

• Monthly subscriptions: No refunds for partial months
• Annual subscriptions: Pro-rated refunds available within 30 days
• No refunds for consumed services or processed documents

7. Service Level Agreement

7.1 Availability

• We strive for 99.9% uptime
• Scheduled maintenance will be announced in advance
• Emergency maintenance may occur without notice

7.2 Support

• Email support for all plans
• Priority support for SMB plans and above
• Enterprise plans include dedicated support

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• We are not liable for indirect, incidental, or consequential damages
• Our total liability is limited to the amount paid in the last 12 months
• We are not responsible for third-party services or content

9. Indemnification

You agree to indemnify and hold harmless Knowbase One from any claims arising from:

• Your use of our services
• Your violation of these terms
• Your violation of any third-party rights

10. Termination

10.1 By You

• You may cancel your subscription at any time
• Cancellation takes effect at the end of the current billing period
• You may request data export before cancellation

10.2 By Us

• We may suspend or terminate accounts for terms violations
• We may discontinue services with 90 days notice
• Severe violations may result in immediate termination

11. Changes to Terms

• We may update these terms periodically
• Significant changes will be notified via email
• Continued use constitutes acceptance of new terms

12. Governing Law

These terms are governed by the laws of California, United States, without regard to conflict of law provisions.

13. Dispute Resolution

13.1 Informal Resolution

We prefer to resolve disputes informally. Contact us first to attempt resolution.

13.2 Arbitration

If informal resolution fails, disputes will be resolved through binding arbitration in California.
